Welcome to Rhemex Suite.

These Terms and Conditions ("Terms", "Agreement") govern your relationship with Rhemex Consultants LLC ("the Company", "we", "our") when using our website and the Rhemex Suite software platform (the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

1. Definition of the Service and Technological Dependence

1.1. Description: Rhemex Suite is a software as a service (SaaS) platform that provides marketing, sales and customer relationship management (CRM) tools.

1.2. External Providers (Dependency Clause): You acknowledge and accept that Rhemex Suite operates as a white label solution built on the technology infrastructure provided by HighLevel, Inc. and other cloud infrastructure providers (such as Google Cloud and Amazon AWS).

The continuity of the Service is strictly subject to the availability, terms and operational continuity of said external providers.

Rhemex Consultants LLC will not be liable for any interruptions, suspension, or termination of the Service that result directly from:

(a) The interruption of operations of HighLevel, Inc.

(b) Changes in the usage policies of the providers that prevent Rhemex Consultants LLC from continuing to offer the service.

(c) Massive failures in the servers of external providers.

In the unlikely event that our suppliers cease operations, we will make reasonable efforts to notify you and allow you to export your data (contacts), but we do not guarantee the continued functionality of the software.

2. Accounts and Registration: When creating an account with us, you must provide us with information that is accurate, complete, and current. Failure to do so constitutes a violation of the Terms, which may result in the immediate termination of your account.

You are responsible for safeguarding the password you use to access the Service and for any activity or actions under your password.

3. Subscriptions and Payments:

3.1. Billing: The Service is billed on a subscription basis ("Subscription"). You will be billed in advance on a recurring and periodic basis (monthly or annually), depending on the plan you select. At the end of each period, your Subscription will automatically renew unless either you or we cancel it.

3.2. Usage Fees (Re-billing): In addition to the subscription fee, the use of telephone services (SMS, calls) and email marketing incurs additional consumption-based costs. You agree to maintain a valid payment method or pre-loaded balance to cover these operating costs.

3.3. Price Changes: Rhemex Consultants LLC may, at its sole discretion, modify subscription fees. Any changes to the subscription fee will take effect at the end of the current billing cycle.

3.4. Refunds: Except where required by law or explicitly specified in a promotional offer (e.g., "30-day guarantee"), paid subscription fees are non-refundable.

4. Acceptable Use, Prohibitions and Restricted Content. To protect the integrity of our infrastructure and comply with the regulations of our providers (GoHighLevel, Stripe, Twilio/LeadConnector), you agree to strictly comply with the following rules:

4.1. Absolute Prohibition of Adult Content. It is strictly prohibited to use Rhemex Suite to create, host, transmit, sell, or promote any type of material or service related to the adult industry. This includes, but is not limited to:

- Pornography, nudity or sexually explicit content.

- Escort services, prostitution or erotic massages.

- Sex toys, adult novels, or content from "OnlyFans" and similar sites.

- Chats or telephone lines of a sexual nature.

Consequence: Detection of this type of content will result in the immediate and irrevocable cancellation of your account and the deletion of all your data, without refund or prior notification. Rhemex Consultants LLC will report such activity to the authorities if it involves minors or illegal acts.

4.2. Compliance with Telecommunications Standards (SHAFT) Since Rhemex Suite integrates SMS and email sending services, you agree to comply with the U.S. telecommunications industry's "SHAFT" regulations (CTIA). Sending marketing messages about the following is prohibited:

- Sex (Sex/Adults).

- Hate (Hate speech).

- Alcohol (Sale or promotion of alcoholic beverages).

- Firearms (Firearms and ammunition).

- Tobacco (Tobacco, vaping, CBD or marijuana).

Violation of these rules will result in the blocking of your telephone number and domain by the operators, releasing Rhemex Consultants LLC from any liability for the interruption of service.

4.3. Other Prohibited Activities , You agree not to use the Service for:

- Sending unsolicited email (SPAM) or bulk messages without consent (Opt-in).

- Promoting illegal activities, pyramid schemes (Ponzi) or deceptive multi-level marketing.

- Hosting content that infringes copyrights, trademarks or intellectual property of third parties.

- Attempting to reverse engineer, hack, or compromise the security of the platform.

5. Intellectual Property: The Service and its original content (excluding user-provided content), features and functionality are and will remain the exclusive property of Rhemex Consultants LLC and its licensors.

You retain all rights to the data, files, and content you upload to your Rhemex Suite account ("User Data").

6. Limitation of Liability: To the maximum extent permitted by applicable law, in no event shall Rhemex Consultants LLC , nor its directors, employees, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including, without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

(i) Your access to or use of, or inability to access or use, the Service.

(ii) Any conduct or content of third parties on the Service.

(iii) Unauthorized access, use or alteration of your transmissions or content.

Our total liability will be limited to the amount you have paid us for the Service during the three (3) months prior to the event that gave rise to the liability.

7. Applicable Law: These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law provisions.

8. Changes to the Terms: We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice before the new terms take effect.
